2.1 Job Description of the Board

The job of the Board is to represent the membership of ORWC by determining and ensuring appropriate organizational performance. The Board will be the link between the association and the diverse ORWC membership from across Ontario. To distinguish the Board’s own unique position from the jobs of its staff, the board will concentrate on the following:

Policy Administration

  • Establishing and/or continuing the legal or corporate existence of ORWC.

  • Ensuring that all legal requirements for the conduct of organizational business and affairs are met.

  • Adopting by-laws, and ensuring ORWC operates within them.

  • Acting upon proposed revisions to by-laws.

  • Adopting, reviewing and reassessing policies that define organizational goals and objectives which direct the activities of the Provincial Coordinator, defining Board processes and which define evaluation of the performance of the Provincial Coordinator and other paid staff.

Board members will make a commitment to adhere to the attendance expectations and consequent measures for Board meetings. As a minimum:

  • Compliance with the Board attendance requirements as set out in a separate policy.

  • When called upon and available, undertaking representation of ORWC in the community; at ORWC functions; annual general meetings of member agencies; chapter meetings; members days; and other special meetings with government or prospective new members to ORWC.

  • Attending a majority of other meetings of the Board which may be called (not requiring a quorum) to educate or inform the Board or to be involved in planning.

Other Requirements:

  • Maintain up to date knowledge of happenings at all Board and committee meetings.

  • Willingness to serve on Board committees or to serve in a Board officer position.

  • Understanding of the Association’s budget, budget process and financial status.
