2.2
Role of the Directors
The major duties of the Board of Directors in the management of ORWC
are:
-
Directors are required to exercise their power
with competence an diligence in the best interest of the corporation.
-
To establish the general policies, goals and objectives
of ORWC.
-
To appoint the Provincial Coordinator, and to
establish and approve the responsibilities of the position.
-
To oversee and assess, at appropriate times, the
performance of the organization and of the Provincial Coordinator
in the pursuit and implementation of the established policies, goals
and objectives of ORWC.
-
To take appropriate action based on the performance
of the organization and of the Provincial Coordinator in the pursuit
and implementation of the established policies, goals and objectives
of ORWC.
-
To ensure proper stewardship for funds and resources
made available for the discharge of the ORWC objectives.
-
To ensure the agency operates within the laws of
Ontario and Canada.
Terms, Duties and Qualifications for Board Members
Term of Office
Duties:
It is expected that Directors will:
-
Attend
all Board Meetings.
-
Serve
on at least one standing committee and attend all meetings of the
standing committee(s).
-
Participate in committee activities and/or special
projects to attendance at boards meetings.
-
Support special events and fundraising and training
events of ORWC.
-
In the event the Director is not able to attend
any of the meetings of the Board or any committee meeting where the
Director is a member of that committee, the Director shall notify
the Chair of that committee. If the Director is not able to or has
not attended at least fifty percent (50%) of the Board meetings and
Committee meetings where the Director is a member of that committee,
the Director will notify the Chairperson. Unless an exemption is granted
from these attendance requirements, the Director shall tender his/her
resignation from the Board forthwith. Resignation from the Board will
not disqualify the Director for standing for election to the Board
the following year, on the recommendation of the Chair of the nominating
committee.
Preferably Board Members should be:
-
Over eighteen (18) years of age, residents of Ontario
and should be of sound character and values having beliefs supportive
of the mission and values of ORWC.
-
In addition to the above, Board members should
possess skills to further the mission of ORWC such as, but not
limited to; leadership, marketing, finance, and human resources experience.
