2.6 Role of the Secretary

Authority & Responsibility

As a member of the Board, the Secretary acts in a position of trust for the membership and is responsible for the effective governance of the organization.

Qualifications/Skills

Excellent verbal and written communication skills, proficient with word processing software programs, well established organizational skills.

Term of Office
  • Two (2) years service to a maximum of three years.

  • Reviewed and elected annually at Annual General Meeting.

Requirements

  • Commitment to the mission and values of ORWC.

  • Knowledge and skills in one or more areas of Board governance: policy, finance, programs, human resources experience, leadership, marketing.

  • Willingness to serve on at least one committee of the Board.

  • Attendance at scheduled Board meetings.

  • A time commitment of ___ to___ hours per month (includes Board preparation, Board meetings, committee meetings and completion and distribution of minutes and correspondence).

  • Attendance and participation in the Annual General Meeting.

  • Prepare for and participate in the discussions and deliberations of the Board.

  • Foster a positive working relationship with other Board members and the membership of ORWC.

  • Be aware and abstain from any conflict of interest.

Duties

  • Assist in establishing the overall long and short term goals, objectives and priorities for ORWC in meeting the requirements and expectations of the membership.

  • The Board Secretary shall be a signing officer of the Corporation, custodian of the seal of the Corporation and all books, papers, records, correspondence, contracts and other documents belonging to the Corporation which the Board Secretary shall deliver up only when authorized by a resolution of the Board of Directors.

  • Prepare and maintain minutes and records for all Board meetings and committee meetings.

  • Review, monitor and verify accuracy of the meeting minutes and circulate to Board and/or committee members in a timely fashion.

  • Adhere to the general duties outlined in the Board member job description.
