2.9 Board Member Code of Conduct

  • The Board Expects of itself and its Directors, ethical and businesslike conduct. This commitment includes proper use of authority and appropriate decorum either in group or individual behaviour when acting as a Board of Director.

  • This code represents general standards and means that a Director must act in good faith and in the best interest of the organization, always disclose the entire truth in his/her dealings with the organization, and act at all times to avoid a conflict of interest.

  • It is the responsibility of every Board Director to be aware of the code and his/her obligations under the code, and to the best of his/her ability, to ensure that all other Directors of the Board are similarly aware.

  • If a Board Director has reason to believe that another Board Director’s actions contravene an item in this code of conduct, the first Director is obligated to inform the Board Director in question, the chair or other officer of the Board. However, the responsibility to ensure that the Board and individual Directors of the Board observe this code is under the sole jurisdiction of the Board and shall be dealt with by the Board as a whole. Each Director of the Board shall use the code as a guide to his/her actions.
